These Terms of Service ("Terms") constitute a legally binding agreement between you and Q Lighting Co., Ltd., a company incorporated in the Kingdom of Thailand ("Company", "we", "us", or "our"), governing your access to and use of Project Work (the "Platform"), accessible at https://project.quill-shop.com.
By creating an account, accepting an invitation, or otherwise accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accessing the Platform on behalf of a company or other legal entity ("Organisation"), you represent and warrant that you have authority to bind that Organisation to these Terms.
If you do not agree to these Terms, you must not access or use the Platform.

Project Work is a multi-tenant project management and design approval platform. It enables Tenant Staff to upload PDF revision documents, conduct structured internal reviews, invite Clients to review released revisions, and maintain a complete, tamper-evident audit trail of all actions.
The Platform is intended for business use by professional firms and their project stakeholders. It is not a general-purpose file sharing or storage service.

Access to the Platform is provided through OAuth 2.0 authentication via Google or Microsoft. You must have a valid account with one of these providers to use the Platform. You are responsible for the security of your Google or Microsoft account credentials.
You are responsible for all activity that occurs under your account. If you become aware of any unauthorised access or security breach, you must notify us immediately at project@quill-shop.com.
Client access to a Project is granted only through an explicit invitation via email invitation, shareable link, or access code. Sharing invitation links or access codes with unauthorised parties is a breach of these Terms.

Tenants are solely responsible for all Content uploaded to or created within their workspace. The Company does not review or validate Content and makes no representations about its accuracy or suitability.
Tenants are responsible for ensuring that Client invitations are issued only to persons who are legitimately associated with the relevant project and who have consented to the processing of their personal data.
Tenants are responsible for ensuring that their use of the Platform complies with all applicable laws, including the Personal Data Protection Act B.E. 2562 (2019) and any contractual obligations owed to their own clients.
Tenants must not use the Platform for any purpose other than legitimate project management and document approval workflows.

Client Users are responsible for the accuracy and completeness of any comments, approvals, or rejections submitted through the Platform. Once an action is recorded in the append-only audit trail, it cannot be deleted or reversed.
Where a Tenant has enabled the e-signature requirement, a Client's drawn signature on an approval constitutes an electronic signature for the purposes of that Tenant's internal records. The legal effect of such signatures under Thai law or any other applicable law is the responsibility of the Tenant and Client to determine.
Client Users must not attempt to access projects, revisions, or workspaces to which they have not been explicitly invited. Client accounts are personal and must not be shared.

The Platform, including all software, design, trademarks, and documentation, is owned by Q Lighting Co., Ltd. and is protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of Platform intellectual property to you.
You retain ownership of the Content you upload to the Platform. By uploading Content, you grant Q Lighting Co., Ltd. a limited, non-exclusive licence to host, store, process, and display that Content solely to the extent necessary to provide the Platform services.
If you submit feedback, suggestions, or ideas about the Platform, you grant us a perpetual, royalty-free licence to use that feedback for any purpose without any obligation to you.

The Platform maintains an append-only audit trail of all Client actions, including views, comments, approvals, and rejections. This design is intentional and cannot be overridden. Once an action is recorded:
Users should exercise care before submitting approvals, rejections, or comments, as these actions form part of the permanent project record.

Access to the Platform as a Tenant is subject to a separate commercial agreement between Q Lighting Co., Ltd. and the Tenant. Fees, payment terms, and subscription conditions are governed by that agreement.
Client Users access the Platform free of charge, as invited by Tenant companies. The Company reserves the right to suspend or terminate Tenant access for non-payment in accordance with the applicable commercial agreement.

We reserve the right to suspend or terminate any account or Tenant workspace, with or without prior notice, if we reasonably believe that the Terms or Acceptable Use policy have been violated, continued access poses a security risk, a Tenant has failed to fulfil its obligations, or we are required to do so by applicable law.
A Tenant Administrator may deactivate individual Staff accounts or revoke Client access to specific projects at any time through the Platform settings.
Upon termination of a Tenant account, access to the workspace will cease. Data retention following termination is governed by the applicable service agreement. Individual Client accounts will remain active for access to other Tenants' projects unless separately deactivated.

The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or free from harmful components. We may carry out maintenance that temporarily affects availability.
Nothing on the Platform constitutes legal, engineering, architectural, or any other form of professional advice. Decisions made on the basis of documents managed through the Platform remain the sole responsibility of the relevant parties.
The Company does not review, verify, or endorse any Content uploaded by users. We make no warranty that Content hosted on the Platform is accurate, complete, or fit for any particular purpose.

To the fullest extent permitted by the laws of the Kingdom of Thailand, Q Lighting Co., Ltd. and its officers, directors, employees, and agents shall not be liable for:
In no event shall our total liability to you exceed the total fees paid by the relevant Tenant in the three months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be excluded under Thai law.

You agree to indemnify and hold harmless Q Lighting Co., Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your violation of these Terms, your Content or use of the Platform, your violation of applicable law or third-party rights, or any dispute between you and another user of the Platform.

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Thai courts.

We may update these Terms from time to time. We will notify users of material changes by updating the "Last updated" date at the top of this document and, where appropriate, through in-Platform or email notification. Your continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Terms.
