Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Q Lighting Co., Ltd., a company incorporated in the Kingdom of Thailand ("Company", "we", "us", or "our"), governing your access to and use of Project Work (the "Platform"), accessible at https://project.quill-shop.com.

By creating an account, accepting an invitation, or otherwise accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accessing the Platform on behalf of a company or other legal entity ("Organisation"), you represent and warrant that you have authority to bind that Organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

Definitions

  • Tenant — A company or organisation that has subscribed to the Platform and whose staff access the Platform through a tenant workspace.
  • Tenant Administrator — A user with administrative access within a Tenant's workspace, responsible for managing staff, clients, and workspace settings.
  • Staff User — An individual employed by or representing a Tenant who accesses the Platform to manage projects, revisions, and client workflows.
  • Client User — An external individual invited by a Tenant to view, comment on, and approve or reject project revisions.
  • Revision — A version of a project document (in PDF format) uploaded by Tenant Staff and managed through the Platform's approval workflow.
  • Project — A workspace within the Platform used to organise and manage Revisions and associated Client interactions.
  • Content — Any data, documents, files, comments, annotations, or other material uploaded to or created within the Platform.

Platform Overview

Project Work is a multi-tenant project management and design approval platform. It enables Tenant Staff to upload PDF revision documents, conduct structured internal reviews, invite Clients to review released revisions, and maintain a complete, tamper-evident audit trail of all actions.

The Platform is intended for business use by professional firms and their project stakeholders. It is not a general-purpose file sharing or storage service.

Accounts and Authentication

4.1 Sign-In Method

Access to the Platform is provided through OAuth 2.0 authentication via Google or Microsoft. You must have a valid account with one of these providers to use the Platform. You are responsible for the security of your Google or Microsoft account credentials.

4.2 Account Types

  • Tenant Staff accounts are scoped to a single Tenant workspace and carry a role of Tenant Administrator, Team Head, or Designer.
  • Client accounts are platform-wide. A single Client account may access Projects across multiple Tenant workspaces if invited.
  • Super Administrator accounts are reserved for authorised employees of Q Lighting Co., Ltd.

4.3 Account Responsibility

You are responsible for all activity that occurs under your account. If you become aware of any unauthorised access or security breach, you must notify us immediately at project@quill-shop.com.

4.4 Invitations

Client access to a Project is granted only through an explicit invitation via email invitation, shareable link, or access code. Sharing invitation links or access codes with unauthorised parties is a breach of these Terms.

Tenant Obligations

5.1 Responsibility for Content

Tenants are solely responsible for all Content uploaded to or created within their workspace. The Company does not review or validate Content and makes no representations about its accuracy or suitability.

5.2 Client Invitations

Tenants are responsible for ensuring that Client invitations are issued only to persons who are legitimately associated with the relevant project and who have consented to the processing of their personal data.

5.3 Compliance with Applicable Law

Tenants are responsible for ensuring that their use of the Platform complies with all applicable laws, including the Personal Data Protection Act B.E. 2562 (2019) and any contractual obligations owed to their own clients.

5.4 Authorised Use Only

Tenants must not use the Platform for any purpose other than legitimate project management and document approval workflows.

Client User Obligations

6.1 Accuracy of Actions

Client Users are responsible for the accuracy and completeness of any comments, approvals, or rejections submitted through the Platform. Once an action is recorded in the append-only audit trail, it cannot be deleted or reversed.

6.2 Electronic Signature

Where a Tenant has enabled the e-signature requirement, a Client's drawn signature on an approval constitutes an electronic signature for the purposes of that Tenant's internal records. The legal effect of such signatures under Thai law or any other applicable law is the responsibility of the Tenant and Client to determine.

6.3 Authorised Access Only

Client Users must not attempt to access projects, revisions, or workspaces to which they have not been explicitly invited. Client accounts are personal and must not be shared.

Acceptable Use

You must not use the Platform to:

  • Upload, share, or transmit any Content that is unlawful, defamatory, obscene, fraudulent, or in violation of any third-party rights.
  • Attempt to gain unauthorised access to any account, workspace, system, or network associated with the Platform.
  • Probe, scan, or test the vulnerability of the Platform or circumvent any security or authentication measures.
  • Upload malware, viruses, or any other harmful or disruptive code.
  • Scrape, copy, or harvest data from the Platform by automated means without our prior written consent.
  • Use the Platform in any manner that could damage, overburden, or impair its operation or interfere with other users' access.
  • Misrepresent your identity or your authority to act on behalf of an Organisation.
  • Use the Platform for any purpose unrelated to legitimate project management and document review activities.

Intellectual Property

8.1 Platform Ownership

The Platform, including all software, design, trademarks, and documentation, is owned by Q Lighting Co., Ltd. and is protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of Platform intellectual property to you.

8.2 Your Content

You retain ownership of the Content you upload to the Platform. By uploading Content, you grant Q Lighting Co., Ltd. a limited, non-exclusive licence to host, store, process, and display that Content solely to the extent necessary to provide the Platform services.

8.3 Feedback

If you submit feedback, suggestions, or ideas about the Platform, you grant us a perpetual, royalty-free licence to use that feedback for any purpose without any obligation to you.

Audit Trail and Data Integrity

The Platform maintains an append-only audit trail of all Client actions, including views, comments, approvals, and rejections. This design is intentional and cannot be overridden. Once an action is recorded:

  • It cannot be deleted, modified, or reversed within the Platform.
  • It will remain part of the permanent record associated with the relevant Revision.

Users should exercise care before submitting approvals, rejections, or comments, as these actions form part of the permanent project record.

Fees and Payment

Access to the Platform as a Tenant is subject to a separate commercial agreement between Q Lighting Co., Ltd. and the Tenant. Fees, payment terms, and subscription conditions are governed by that agreement.

Client Users access the Platform free of charge, as invited by Tenant companies. The Company reserves the right to suspend or terminate Tenant access for non-payment in accordance with the applicable commercial agreement.

Suspension and Termination

11.1 By the Company

We reserve the right to suspend or terminate any account or Tenant workspace, with or without prior notice, if we reasonably believe that the Terms or Acceptable Use policy have been violated, continued access poses a security risk, a Tenant has failed to fulfil its obligations, or we are required to do so by applicable law.

11.2 By the Tenant

A Tenant Administrator may deactivate individual Staff accounts or revoke Client access to specific projects at any time through the Platform settings.

11.3 Effect of Termination

Upon termination of a Tenant account, access to the workspace will cease. Data retention following termination is governed by the applicable service agreement. Individual Client accounts will remain active for access to other Tenants' projects unless separately deactivated.

Disclaimers

12.1 Service Availability

The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or free from harmful components. We may carry out maintenance that temporarily affects availability.

12.2 No Professional Advice

Nothing on the Platform constitutes legal, engineering, architectural, or any other form of professional advice. Decisions made on the basis of documents managed through the Platform remain the sole responsibility of the relevant parties.

12.3 No Warranty on Content

The Company does not review, verify, or endorse any Content uploaded by users. We make no warranty that Content hosted on the Platform is accurate, complete, or fit for any particular purpose.

Limitation of Liability

To the fullest extent permitted by the laws of the Kingdom of Thailand, Q Lighting Co., Ltd. and its officers, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive loss, including loss of revenue, profit, data, or business opportunity.
  • Any loss arising from reliance on the accuracy or completeness of Content managed through the Platform.
  • Any loss arising from unauthorised access to your account as a result of your own failure to maintain security of your credentials.
  • Any interruption, suspension, or cessation of access to the Platform.

In no event shall our total liability to you exceed the total fees paid by the relevant Tenant in the three months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be excluded under Thai law.

Indemnification

You agree to indemnify and hold harmless Q Lighting Co., Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your violation of these Terms, your Content or use of the Platform, your violation of applicable law or third-party rights, or any dispute between you and another user of the Platform.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Thai courts.

Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes by updating the "Last updated" date at the top of this document and, where appropriate, through in-Platform or email notification. Your continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Terms.

General

  • Entire Agreement — These Terms, together with our Privacy Policy and any applicable commercial agreement, constitute the entire agreement between the parties with respect to the Platform.
  • Severability — If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions shall continue in full force and effect.
  • No Waiver — Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment — You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
